Please read these Terms of Use (“Terms”) carefully, as they govern your access to and use of the website located at www.gambitrobotics.ai and any related webpages, content, information, and online services made available by Gambit Robotics Inc., a Delaware corporation (“Gambit,” “Company,” “we,” “us,” or “our”) (collectively, the “Website”).
The Website provides information about Gambit and our products and services, including products currently under development. These Terms constitute a legally binding agreement between you and Gambit. By accessing or using the Website, you acknowledge that you have read, understand, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Website.
1. Company and Scope
Gambit is developing an AI-enabled cooking assistance device and related software and services (the “Product”). These Terms apply solely to your access to and use of the Website and related online interactions and do not govern the sale, use, or operation of any physical device, embedded software, firmware, mobile application, subscription service (including any “Gambit+” offering), warranty, or other product or service, each of which will be subject to separate terms and conditions to be provided, if and when applicable. By accessing or using the Website, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement.
2. Kickstarter and Pre-Release Disclosures
The Website may include information regarding a crowdfunding campaign hosted on Kickstarter or similar third-party platforms. You acknowledge and agree that Kickstarter is not owned, operated, or controlled by Gambit, that any pledges, payments, refunds, or other transactions are governed exclusively by Kickstarter’s terms and policies, and that Gambit makes no guarantees regarding product features, specifications, pricing, availability, manufacturing, or delivery timelines. All descriptions of the Product are for informational purposes only and reflect a product under development, and all aspects of the Product are subject to change. You acknowledge that participation in a crowdfunding campaign involves risk and does not constitute a purchase of a finished or commercially available product. Any support, pledge, or interest expressed through Kickstarter or similar platforms is subject to the terms, policies, and risk disclosures of such platforms.
3. No Offer; No Warranty
Nothing on the Website constitutes an offer to sell or a solicitation of an offer to buy any product or service. The Website and all content are provided for general informational purposes only. Gambit makes no representations or warranties, express or implied, regarding the completeness, accuracy, or reliability of any information presented on the Website, and any reliance on such information is at your own risk. No warranties of any kind are provided with respect to any future product, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
4. Use Restrictions
You may use the Website solely for lawful, personal, and non-commercial purposes. 8. Disclaimer of Warranties
THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GAMBIT DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GAMBIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GAMBIT’S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU TO GAMBIT, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Arbitration; Class Action Waiver; Waiver of Jury Trial. Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any interactions between you and Gambit (including any claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association in accordance with its applicable rules, and not by a court of law. The arbitration shall be conducted in New York County, New York, unless the parties mutually agree otherwise, and shall be administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. Arbitration shall be conducted on an individual basis only, and you and Gambit each expressly waive any right to bring or participate in any class action, collective action, private attorney general action, or other representative proceeding. EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM, WHETHER IN COURT OR IN ARBITRATION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE. Judgment on the arbitration award may be entered in any court of competent jurisdiction, and this waiver of jury trial shall survive termination of these Terms and any arbitration or other proceeding. Nothing in this Section prohibits either party from bringing an individual claim in small claims court, provided such claim is eligible and remains on an individual, non-class basis.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of law principles.
12. Copyright Complaints (DMCA)
If you believe that any content available on the Website infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing the following information in writing to Gambit’s designated agent: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the allegedly infringing material; (iii) your contact information; (iv) a statement that you have a good faith belief that the use is not authorized; and (v) a statement, under penalty of perjury, that the information provided is accurate. Notices may be sent to contact@gambitrobotics.ai.
13. Miscellaneous
These Terms constitute the entire agreement between you and Gambit regarding the Website and supersede all prior or contemporaneous communications. Gambit may assign these Terms without restriction. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Gambit’s failure to enforce any provision will not constitute a waiver.
